A Direct Path Into Real-Asset Infrastructure

Surge offers investors the ability to participate directly in project-level infrastructure LLCs—entities that own and monetize intelligent physical infrastructure installed across urban and industrial corridors. Each LLC is formed around a specific deployment zone and structured to deliver transparent, yield-generating exposure to physical infrastructure tied to real-time system demand.

The Investment Structure

Project Formation

Surge identifies high-potential corridors with pre-secured rights-of-way and early tenant demand. A dedicated LLC is formed for that geography or project.

Capital Participation

Accredited investors are invited to participate through a Regulation D 506(c) offering. Capital is used to deploy physical infrastructure: edge compute nodes, sensors, backhaul connectivity, and smart enclosures.

Infrastructure Monetization

Once deployed, the infrastructure generates revenue through multi-tenant service agreements. Customers include AV platforms, telecom carriers, logistics networks, spatial computing companies, and public agencies.

Revenue sources include:

- Sensor hosting

- Compute access (usage-based billing)

- Network colocation

- Federated data API subscriptions

Distributions & Oversight

Net revenue is distributed to LLC investors on a scheduled basis, based on their equity stake. Surge serves as the managing member, responsible for operations, reporting, tenant onboarding, and infrastructure lifecycle management.
