Project Formation
Surge identifies high-potential corridors with pre-secured rights-of-way and early tenant demand. A dedicated LLC is formed for that geography or project.
Capital Participation
Accredited investors are invited to participate through a Regulation D 506(c) offering. Capital is used to deploy physical infrastructure: edge compute nodes, sensors, backhaul connectivity, and smart enclosures.
Infrastructure Monetization
Once deployed, the infrastructure generates revenue through multi-tenant service agreements. Customers include AV platforms, telecom carriers, logistics networks, spatial computing companies, and public agencies.
Revenue sources include:
- Sensor hosting
- Compute access (usage-based billing)
- Network colocation
- Federated data API subscriptions
- Revenue share from application-layer providers
Distributions & Oversight
Net revenue is distributed to LLC investors on a scheduled basis, based on their equity stake. Surge serves as the managing member, responsible for operations, reporting, tenant onboarding, and infrastructure lifecycle management.
